Any natural person who is an Indian citizen — whether resident or non-resident — can form an OPC, per the 2021 amendment to Companies (Incorporation) Rules, 2014 (Rule 12). A person cannot be a member of more than one OPC.

What is the conversion threshold?

An OPC must mandatorily convert to a Private Limited Company when paid-up capital exceeds ₹50 lakh AND average annual turnover (of preceding 3 FYs) exceeds ₹2 crore. Pre-2021 amendment, conversion was triggered by exceeding either threshold.

Is the nominee mandatory?

Yes. Under Section 3(1)(c) proviso, the sole member must nominate a person (nominee) whose consent is filed in Form INC-30 (now subsumed in SPICe+ Part B). The nominee takes over membership in case of the member's death or incapacity.

Does an OPC hold AGM?

No. Section 96(1) of the Companies Act, 2013 explicitly exempts OPCs from holding AGMs. The sole member's resolution signed in writing is sufficient.

What is the residency requirement for the sole member?

Post the 2021 amendment, there is no residency requirement. Pre-2021, the sole member had to be a resident Indian (≥ 182 days).

What is the government fee for OPC registration?

Same as Pvt Ltd — ₹1,000 for name reservation (SPICe+ Part A), Nil filing fee on SPICe+ Part B for authorised capital up to ₹15 lakh, plus stamp duty on MoA/AoA (₹2,000–₹2,100 for ₹1 lakh capital in Delhi/Maharashtra/Karnataka).

Can a minor be a member or nominee?

No. Section 3(1)(c) proviso read with Rule 12 of Incorporation Rules prohibits minors from being members or nominees of an OPC.

Does an OPC need a separate audit?

Yes. Section 139 read with Section 143 requires OPCs to appoint a statutory auditor within 30 days of incorporation (ADT-1). Tax audit under Section 44AB of Income-tax Act applies if turnover exceeds ₹1 crore.
